Exclusions: chargebacks, fraud, material misrepresentation, prohibited workflows, breach, non-payment disablement, and continued use after refund.

A 30 to 45 min guided form covering your business, team, tools, workflow, top pain points, and what success looks like 90 days from now. You fill it out at your pace. We show up to discovery already knowing your operation.

A signed document listing every feature with a written acceptance test, exclusions, midpoint definition, delivery definition, and subscription terms. Sign-off triggers the P2 invoice and locks the build. Post-sign-off changes flow through change orders.

Minor: under about 4 hours, billed at $225/hr CAD, bucketed to 30 minutes, invoiced at milestone close. Major: 4 hours or more, fixed-price quote, written acceptance, separate row on your project. We classify; you accept or decline.

Yes. SPEC delivers modules into your OPS subscription. Discovery and build run before billing starts. The subscription rate adjustment lands on the first billing cycle 30 days after your walkthrough.

Setup: +15% on base OPS sub. Build: +30%. Enterprise: +50%. Locked at scope sign-off. Renegotiable at the 12-month mark if actual infra cost diverges. Heavy-infra modules may add a flat monthly surcharge disclosed at scope time.

Optional after the support window ends. Setup: $250/mo. Build: $450/mo. Enterprise: $750/mo. Covers bug fixes, minor in-scope enhancements, and OPS platform-update compat patches. Pause or cancel anytime via Stripe.

Delivery windows are good-faith estimates, not firm dates. If we expect a slip greater than 7 days we notify within 48 hours with a revised ETA. No automatic credits. If the slip is unacceptable, refund options apply per the matrix.

Yes. $500 CAD per referred engagement that completes. Paid 30 days after the referred customer's walkthrough, provided no refund was invoked. Requires Stripe Connect KYC. Canadian referrers crossing $500/yr cumulative trigger T4A reporting.

Yes. The full SPEC Terms of Service lives at /legal?page=spec-terms. You accept the current version when you pay the deposit. The version hash is recorded with your acceptance for the dispute evidence chain.

Start with Setup. Lowest commitment. During discovery we will tell you straight whether your needs require Build or Enterprise. Pre-scope-signoff upgrades are pro-rated — what you paid for Setup counts toward the new tier.

OPS owns all code, configurations, designs, templates, and reusable know-how created for SPEC. Customer owns its business data. While Customer maintains an active OPS subscription and is not in breach, Customer has a limited, non-exclusive, non-transferable license to use delivered modules inside OPS; the license ends when the OPS subscription ends or the engagement is refunded.
